Head Of Legal and Company Secretary


Access Bank Botswana continues to strengthen its leadership team and is seeking a commercially astute, strategically minded, and ethically driven legal professional to join the Bank as Head of Legal and Company Secretary.
 
This influential leadership role provides strategic legal counsel and governance oversight to the Bank and its subsidiaries. The successful candidate will support the Board and Executive Management by ensuring robust legal, regulatory, and governance frameworks while safeguarding the Bank’s interests across all operations.
 
Key Responsibilities
  • Provide strategic legal advisory to the Bank and its subsidiaries on contracts, litigation, credit matters, employment law, and regulatory issues.
  • Serve as Company Secretary, ensuring effective governance support to the Board, Executive Management, and Board Committees.
  • Organise and manage Board meetings, Executive Management meetings, and Annual General Meetings, including preparation of agendas, Board packs, and minutes.
  • Draft, review, and negotiate legal, credit, and security documentation to ensure the Bank’s interests are adequately protected.
  • Ensure the Bank’s policies, procedures, and operational activities comply with regulatory and statutory requirements.
  • Manage litigation matters and coordinate with external legal counsel, regulators, and other key stakeholders.
  • Provide legal advisory and transactional support to business units including credit, investment banking, and remedial asset management.
  • Lead and manage the Legal and Company Secretariat function, including legal risk management, departmental performance, and stakeholder engagement across the organisation.
 
Qualifications and Experience
  • Bachelor’s Degree in Law from a recognised institution.
  • Minimum 10 years post-qualification legal experience, preferably within the financial services or banking sector.
  • At least 5 years’ experience in a leadership or management role.
  • Strong expertise in corporate governance, regulatory compliance, and banking legal frameworks.
  • Demonstrated strategic thinking and sound legal judgement.
  • Strong communication and stakeholder engagement skills, with the ability to advise and influence senior leadership and Board members.
